1. Acceptance of Terms

By accessing or using the MeasuredRisk platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and MeasuredRisk, Inc. ("Company," "we," "us," or "our").

2. Service Description

MeasuredRisk provides a supply chain risk intelligence platform that enables organizations to:

  • Assess and monitor vendor and supplier risk
  • Screen vendors against sanctions lists
  • Discover alternative suppliers
  • Analyze foreign ownership, control, or influence (FOCI)
  • Generate risk reports and compliance documentation

The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

4. Subscription and Billing

Plans and Pricing

We offer monthly and annual subscription plans. Pricing is available on our Pricing page. Prices are subject to change with 30 days' notice.

Billing

  • Monthly plans are billed on the same date each month
  • Annual plans are billed once per year
  • All fees are non-refundable except as stated below
  • You authorize us to charge your payment method on file

Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. You can cancel anytime from your account settings.

Refund Policy

New customers may request a full refund within 30 days of their initial subscription. Contact billing@measuredrisk.com.

5. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes
  • Not violate any applicable laws or regulations
  • Not infringe on the rights of others
  • Not attempt to gain unauthorized access to the Service
  • Not reverse engineer or decompile the Service
  • Not use the Service to send spam or malware
  • Not resell or redistribute the Service without authorization

Prohibited Uses

You may not use the Service to: conduct illegal activities, harass or harm others, distribute malicious software, or interfere with the Service's operation.

6. Data Ownership

You Own Your Data

All vendor data, supplier information, and content you upload remains your property. We do not claim ownership of your data.

  • Your Data: You retain all rights to data you upload. You grant us a limited license to process this data solely to provide the Service.
  • Export: You may export your data at any time in standard formats.
  • Deletion: Upon account termination, we will delete your data within 30 days (except as required for backups or legal obligations).

7. Service Availability

Uptime Target

We strive for 99.9% uptime. Enterprise customers may have specific SLA terms in their contracts.

Scheduled Maintenance

We perform scheduled maintenance during off-peak hours (typically weekends, early morning hours US time). We will provide advance notice for planned maintenance that may affect availability.

No Guarantee

While we work to maintain high availability, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by MeasuredRisk and protected by copyright, trademark, and other intellectual property laws.

  • The MeasuredRisk name, logo, and brand elements are our trademarks
  • You may not use our trademarks without written permission
  • Feedback you provide may be used to improve the Service without compensation

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • The Service is provided "as is" without warranties of any kind
  • We do not warrant that the Service will be error-free or uninterrupted
  • We are not liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the fees you paid in the 12 months preceding the claim

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

10. Termination

By You

You may cancel your subscription at any time from your account settings. Your access continues until the end of your billing period.

By Us

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in conduct harmful to the Service or other users.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We will delete your data within 30 days unless retention is required by law.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

You agree to resolve disputes through binding arbitration where permitted by law, except for claims that may be brought in small claims court.
